Terms of Service

These Terms of Service (“Terms”) govern access to and use of the software, platform, and related services (collectively, the “Service”) by any individual user (“User”, “you”, or “your”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility & Authority

  • You must be authorized by a valid Customer account to access the Service.
  • You represent that:
    • You have the legal capacity to agree to these Terms
    • You are acting within the scope of authority granted by your organization (if applicable)

2. Access & Use of the Service

  • Access is granted on a limited, non-exclusive, revocable basis.
  • You may use the Service only:
    • For legitimate, authorized purposes
    • In accordance with applicable laws and regulations
  • Access may be restricted, suspended, or revoked at any time.

3. User Account Security

  • You are responsible for:
    • Maintaining confidentiality of login credentials
    • All activities conducted under your account
  • You must:
    • Use strong passwords
    • Immediately report unauthorized access or security breaches
  • The Company is not liable for losses resulting from compromised credentials.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful activities
  • Upload, transmit, or distribute:
    • Malware, viruses, or malicious code
    • Content that is abusive, defamatory, or illegal
  • Attempt to:
    • Gain unauthorized access to systems or data
    • Reverse engineer or exploit the Service
    • Circumvent security controls
  • Interfere with:
    • System integrity
    • Performance or availability of the Service

5. Data Access & Responsibility

  • You may only access data:
    • That you are authorized to access
    • Within the scope defined by the Customer
  • You must not:
    • Copy, extract, or share data without authorization
    • Use data for purposes outside your permitted role
  • You are responsible for maintaining confidentiality of sensitive information.

6. Privacy & Data Processing

  • Your use of the Service may involve processing of personal or business data.
  • The Company processes data in accordance with its Privacy Policy.
  • You acknowledge that:
    • Data may be stored and processed in cloud environments
    • Absolute data security cannot be guaranteed

7. Service Availability & Disruptions

  • The Service is provided on an “as available” basis.
  • The Company does not guarantee:
    • Continuous availability
    • Error-free operation
  • Interruptions can occur due to:
    • Scheduled maintenance
    • Technical failures
    • Third-party service disruptions
    • Force majeure events where the Service may be immediately and significantly impacted with no predictable timeline for recovery

8. Security Risks & No Guarantees

You acknowledge and accept that:

  • No system is completely secure
  • Risks may include:
    • Unauthorized access
    • Data breaches
    • Data loss or corruption
  • The Company is not responsible for:
    • External cyberattacks
    • Failures beyond reasonable control
    • Losses arising from your own negligence

9. Monitoring & Enforcement

  • The Company may monitor usage to:
    • Ensure compliance with these Terms
    • Detect security threats or misuse
    • Derive statistical data for purposes not limited to analysis
  • The Company may investigate suspected violations and take appropriate action.

10. Suspension & Termination

  • Your access may be suspended or terminated:
    • For violation of these Terms
    • At the request of the Customer
    • For security or legal reasons
  • Suspension may occur without prior notice where necessary.

11. Relationship with Customer Agreement

  • Your use of the Service is subject to the agreement between the Company and the Customer.
  • In case of conflict:
    • The Customer agreement prevails
    • The Customer retains responsibility for your access and usage within the framework of the Service offering to the Customer.

12. Intellectual Property

  • The Service and all related rights remain the property of the Company.
  • You are granted no ownership rights.
  • You must not:
    • Copy, modify, or distribute the Service
    • Use the Service beyond permitted scope

13. Limitation of Liability

  • To the maximum extent permitted by law, the Company shall not be liable for:
    • Indirect, incidental, or consequential damages
    • Loss of data, income, or business opportunities
  • The Service is used at your own risk.

14. Disclaimer of Warranties

  • The Service is provided “as is” and “as available”.
  • The Company disclaims all warranties, including:
    • Fitness for a particular purpose
    • Reliability or availability
    • Security or accuracy

15. Changes to Terms

  • The Company may update these Terms at any time.
  • Continued use of the Service constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by the laws of the United Arab Emirates.

17. Miscellaneous

  • These Terms form the entire agreement between you and the Company regarding usage.
  • If any provision is invalid, the remainder remains enforceable.
  • Failure to enforce any right does not constitute a waiver.
