These Terms of Service (“Terms”) govern access to and use of the software, platform, and related services (collectively, the “Service”) provided by Silicon Technology Company LLC-FZ (“Company”, “we”, “us”, or “our”). By subscribing to or using the Service, the customer (“Customer”, “you”, or “your”) agrees to these Terms.
1. Scope of Service
The Company grants the Customer a limited, non-exclusive, non-transferable, and revocable right to access and use the Service during the subscription period, strictly in accordance with these Terms.
2. Subscription & Fees
- The Service is provided on a subscription basis.
- Fees, billing cycles, and payment terms are specified at the time of purchase.
- All fees are non-refundable unless explicitly stated otherwise.
- The Company reserves the right to revise pricing with prior notice.
- Failure to pay fees may result in suspension or termination of access.
3. User Accounts & Responsibilities
- The Customer is responsible for maintaining the confidentiality of login credentials.
- The Customer is fully responsible for all activities conducted under its account.
- The Customer agrees not to:
- Use the Service for unlawful purposes
- Reverse engineer, copy, or resell the Service
- Interfere with or disrupt system integrity or security
4. Data & Privacy
- The Customer retains ownership of all data input into the Service (“Customer Data”).
- The Company will process Customer Data solely for the purpose of providing the Service.
- The Company implements reasonable security measures but does not guarantee absolute security.
- Additional terms may be outlined in a separate Privacy Policy.
5. Intellectual Property
- All rights, title, and interest in the Service remain with the Company.
- No rights are granted to the Customer other than those explicitly stated.
6. Service Availability
- The Company will use commercially reasonable efforts to ensure uptime and availability.
- The Service may be temporarily unavailable due to maintenance, updates, or unforeseen issues.
- No guarantees are made regarding uninterrupted or error-free operation.
7. Updates & Modifications
- The Company may update or modify the Service at any time.
- Continued use of the Service constitutes acceptance of such updates.
8. Term & Termination
- The subscription term is defined at purchase and renews automatically unless cancelled.
- Either party may terminate for material breach if not remedied within a reasonable period.
- Upon termination:
- Access to the Service will be revoked
- Customer Data may be deleted after a defined retention period
9. Limitation of Liability
- To the maximum extent permitted by law, the Company shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data, profits, or business opportunities
- Total liability shall not exceed the fees paid by the Customer in the preceding [12] months.
10. Disclaimer of Warranties
- The Service is provided “as is” and “as available”.
- The Company disclaims all warranties, express or implied, including fitness for a particular purpose.
11. Indemnification
The Customer agrees to indemnify and hold harmless the Company from any claims arising out of:
- Misuse of the Service
- Violation of these Terms
- Infringement of third-party rights
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
13. Changes to Terms
The Company may update these Terms from time to time. Continued use of the Service constitutes acceptance of the revised Terms.
14. Miscellaneous
- These Terms constitute the entire agreement.
- If any provision is found invalid, the remaining provisions will remain in effect.
- Failure to enforce any right shall not constitute a waiver.
15. End User Terms (Multi-User Access)
Where the Customer enables access to the Service for multiple users (“End Users”), the following additional terms apply:
- The Customer is responsible for all End Users under its account, including their compliance with this Agreement.
- Each End User must use the Service in accordance with these Terms.
- The Customer shall ensure that End Users:
- Maintain confidentiality of their credentials
- Do not misuse, copy, or attempt to exploit the Service
- Comply with all applicable laws and regulations
- The Company has the right to suspend or terminate access for any End User who violates these Terms.
- The Customer remains liable for all actions performed by its End Users.
16. Acceptable Use Policy (All Users)
All users, including the Customer and End Users, agree not to:
- Use the Service for illegal, fraudulent, or harmful activities
- Upload or transmit malicious code, viruses, or harmful data
- Attempt unauthorized access to systems or data
- Interfere with the proper functioning of the Service
The Company reserves the right to investigate and take appropriate action, including suspension or termination.
